Terms of use
For companies that use Operalytix Fleet, and for the people they invite. Version 2026-10 · Effective 26 October 2026.
1. Who these terms are between
These terms are a contract between Evolves EOOD ("Evolves" Ltd.), trading as Operalytix, UIC 206114078, registered at 14 Tsar Osvoboditel Blvd, floor 6, Sredets, 1000 Sofia, Bulgaria ("Evolves", "we", "us"), and the business that creates a company account in Operalytix Fleet (the "Customer", "you").
The person who creates the company account accepts these terms on the Customer's behalf and confirms that they are authorised to do so. That person becomes the company's first owner.
Business use only. Operalytix Fleet is provided to businesses and other organisations for managing their own vehicles and the people who drive them. It is not offered to consumers.
The data processing agreement (version 2026-10) forms part of these terms. The privacy policy explains how personal data is handled.
Invited users (drivers and dispatchers) use the Service through the Customer's account. Sections 6 (acceptable use), 7 (safety while driving) and 15 (the App Store) apply to them directly.
2. Words used in these terms
- Service: the Operalytix Fleet iPhone app, the web dashboard at fleet.operalytix.com, the servers they connect to, and the related emails.
- Company account: the Customer's account in the Service, with its members, vehicles, zones, settings and records.
- Members: the owners, dispatchers and drivers who sign in to the company account.
- Customer Data: everything the Customer and its members put into the Service or that the Service records for the company account, including shifts, locations, alerts, vehicle and fleet records, photos and documents.
3. The company account and its members
- An owner creates the company account in the app or on the web. Drivers and dispatchers join only with an invitation code or link from the company, which expires after 14 days.
- Each email address can belong to only one Operalytix Fleet account.
- You keep the company's details accurate. You decide who becomes a member and in which role. You are responsible for what your members do in the company account and for keeping sign-ins secure.
- You are the employer and the controller of your members' data. It is for you to have a lawful basis for tracking your drivers, to inform them before tracking starts, to adopt the internal rules the law requires for monitoring working time and work discipline, to carry out a data protection impact assessment where required, and to consult employee representatives where the law requires it. Use the Service only for drivers who work for you and only during working time.
- The Service records and calculates distances, times, speeds and zone crossings from the location data the phones provide. It is a management tool, not a legal, payroll or traffic-law record. Check its results before relying on them, especially before taking any measure concerning a member.
- In the company settings an owner decides, among other things, the maximum shift length after which the Service ends a forgotten shift automatically (16 hours by default; it can be turned off) and which kinds of alerts (speeding, long stop, no location) the Service creates. Alerts that are switched off are not created, so nobody is warned of those events.
4. Fees
- The Service is currently free of charge. No payment details are asked for and nothing is sold in the app, through the App Store or on our website.
- If we decide to charge for the Service or for part of it, we will tell the owners by email at least 30 days before any charge can apply, together with the price and terms. Charges never apply to any period before they take effect, and apply to your company only if an owner agrees to them. If you do not agree, you may export your data and delete the company account.
5. Ending these terms
- You may end these terms at any time by deleting the company account (section 11).
- We may end them by giving the owners 30 days' notice by email. You keep the right to export your data until the end of the notice period.
- We may end them with immediate effect if you seriously breach section 6 and do not stop after a warning, or where the law requires it.
6. Acceptable use
You and your members must not:
- use the Service for anything unlawful, including tracking anyone who is not your worker, tracking outside working time, or monitoring people in a way employment or data protection law does not allow;
- falsify locations, times or speeds, or interfere with how the app records them;
- try to reach another company's data, probe or test the Service's security without our written permission, or disrupt its operation;
- reverse engineer the app or the Service except where the law allows it despite this restriction;
- upload malware, or content that is unlawful or infringes someone else's rights;
- resell the Service or provide it to third parties, other than letting your own members use it.
We may suspend a member or a company account, as narrowly as is practical, where this is needed to stop a serious breach of this section, a security threat or unlawful use, or where the law requires it. We tell the owners why unless the law prevents us, and lift the suspension once the reason has gone.
7. Safety while driving
- Never handle the phone while driving. Clock in, choose the vehicle and enter checks before you set off; clock out after you have parked. Speed and zone warnings are designed to be seen or heard without touching the phone.
- Speed warnings use the limit your company has set, not the legal limit of the road, and GPS speed can be inaccurate. The driver alone is responsible for obeying traffic rules and road signs. The Service is not a navigation or road-safety system.
- Alerts depend on the phone's GPS, battery and mobile signal, and can be late, missing or wrong. Do not rely on the Service as the only means of protecting people, vehicles or goods, or in emergencies. In an emergency, call 112.
8. Availability and support
- We take reasonable care to keep the Service available, but we do not guarantee uninterrupted or error-free operation and offer no service-level credits. Planned maintenance is kept short and, where we can, outside European business hours.
- Positions recorded while the Service cannot be reached are kept on the phone and sent when the connection returns.
- Support is given by email at support@operalytix.com, in English and Bulgarian, on Bulgarian business days. We aim to reply within two business days.
- We improve the Service continually and may change or remove features. We will not remove a feature your company relies on to keep its working-time records without telling the owners at least 30 days in advance.
9. Intellectual property
We and our licensors own the Service and everything in it other than Customer Data. While these terms are in force, we grant you and your members a non-exclusive, non-transferable right to use the Service for your company's internal purposes.
You own Customer Data. You give us the right to host, copy, process and display it only as needed to provide the Service to you, as set out in the data processing agreement. If you send us suggestions, we may use them without any obligation to you.
10. Customer Data and export
- We process personal data in Customer Data as your processor, on your instructions, under the data processing agreement.
- You can export reports (timesheets, driver and vehicle summaries) as CSV or PDF files at any time, and an owner can export all data about one driver as a ZIP file, for example to answer that driver's request for access to their data. If you need an export the Service does not offer, write to us and we will help.
- We do not sell Customer Data, use it for advertising, or use it to train machine-learning models.
- Raw location points are deleted automatically after the retention period set in the company settings (90 days by default). Export anything you need to keep longer before then.
11. Deleting the company account
- An owner can delete the company account at any time, in the web dashboard under Settings › Company › Delete company or in the iPhone app under Settings › Company › Delete company, by typing the company's name and confirming with their password or with Apple. The company account is also deleted when its last owner deletes their own account and confirms that the company should be deleted with it (in the iPhone app under Settings › Account › Delete account, or in the web dashboard under your name at the bottom of the sidebar, Account › Delete account).
- Deletion is immediate: all Customer Data, all members' accounts, and all stored photos and documents are erased. Encrypted backups containing them are overwritten within 14 days.
- Employers often have to keep working-time records for years. Export what you must keep before you delete the company account.
12. Warranties
We provide the Service with reasonable skill and care. To the extent the law allows, we give no other warranties, express or implied, including about fitness for a particular purpose or about the accuracy of locations, speeds and alerts.
13. Liability
- Each party's total liability under or in connection with these terms and the data processing agreement, for all claims together, is limited to the greater of the fees you paid us for the Service in the 12 months before the event giving rise to the claim and EUR 100.
- Neither party is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss, including loss caused by a late, missing or wrong alert.
- Nothing in these terms limits or excludes liability for damage caused intentionally or through gross negligence, for death or personal injury, or any other liability that cannot be limited or excluded by law.
14. Changes to these terms
We may update these terms. For a change that is material to you, we tell the owners by email, and in the Service, at least 30 days before it takes effect, unless the law requires a change sooner. Each version carries a version string (this one is 2026-10). If you do not agree to a change, you may delete the company account before it takes effect.
15. The App Store
If you or your members obtain the app from Apple's App Store, the following also applies:
- These terms are between you and Evolves only, not with Apple Inc. ("Apple"). Evolves, not Apple, is solely responsible for the app and its content.
- The licence to use the app is limited to use on Apple-branded products that the user owns or controls, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with the purchaser through Family Sharing or volume purchasing.
- Evolves alone is responsible for maintenance and support of the app. Apple has no obligation to provide any maintenance or support for it.
- If the app fails to conform to any applicable warranty, the user may notify Apple, and Apple will refund the purchase price of the app, if any (the app is free). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are Evolves's responsibility to the extent these terms make them so.
- Evolves, not Apple, is responsible for addressing any claims relating to the app or its possession or use, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy or similar legislation.
- If a third party claims that the app or its possession or use infringes that third party's intellectual property rights, Evolves, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
- Each user confirms that they are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and are not listed on any U.S. Government list of prohibited or restricted parties.
- Questions, complaints or claims about the app go to Evolves at the address in section 1 or support@operalytix.com.
- Users must comply with any third-party terms that apply when using the app, such as their mobile network's terms.
- Apple and Apple's subsidiaries are third-party beneficiaries of this section, and once these terms are accepted Apple has the right (and is deemed to have accepted the right) to enforce this section against the user as a third-party beneficiary.
16. Law and courts
These terms, and any dispute arising from or in connection with them, are governed by the law of the Republic of Bulgaria, excluding the UN Convention on Contracts for the International Sale of Goods. The competent courts in Sofia, Bulgaria have exclusive jurisdiction, except that either party may seek urgent interim relief in any competent court.
17. General
- These terms and the data processing agreement are the whole agreement between us about the Service.
- You may not transfer these terms without our written consent. We may transfer them to a company that takes over the Service, and will tell the owners if we do.
- We send notices to the owners' email addresses. You send notices to support@operalytix.com or to our registered address.
- Neither party is liable for a delay or failure caused by events beyond its reasonable control.
- If a provision is found invalid, the rest remains in force. Not enforcing a right straight away does not waive it.
- These terms are published in English and Bulgarian. Both versions have the same meaning; if they differ, the Bulgarian version prevails for Customers established in Bulgaria and the English version for all others.
